lōglab Service Packages
Terms and Conditions
These Terms and Conditions (“Terms”) govern and apply in full force and effect to Your purchase of a Chief People Officer (“CPO”) or HR Coaching (“HRC”) package from lōglab, LLC. By purchasing any CPO products or services from lōglab, LLC, You shall be deemed to have expressly agreed to each and all terms, conditions, and notices herein without modification.
Agreement to Terms. The Terms constitute << Test First Name >> << Test Last Name >> (hereinafter the “Client”, “You” or “Your”) full agreement with lōglab, LLC with regard to the provision of lōglab products and the services rendered thereunder (hereinafter “Agreement”). The Client and lōglab, LLC are collectively referred to as “Parties” and individually as “Party”.
Agreement for Use. You warrant that You are at least 18 years of age and possess the legal authority to enter into this Agreement. You also warrant that all information supplied by You or Your agents in purchasing a package is true and accurate.
Services and Purchases.
Limitations and Restrictions of Service. lōglab, LLC reserves the right to refuse service to anyone for any reason at any time. lōglab, LLC reserves the right to refuse any order You place with lōglab, LLC. lōglab, LLC may, in its sole discretion, limit or cancel purchases. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing address. lōglab, LLC reserves the right, but is not obligated, to limit the sales of its services to any person, geographic region or jurisdiction. lōglab, LLC may exercise this right on a case-by-case basis. lōglab, LLC reserves the right to limit the quantities of any products or services it offers. In the event that lōglab, LLC makes a change to or cancels a purchase, lōglab, LLC will attempt to notify You by contacting the e-mail and/or billing address/phone number provided at the time the order was made. lōglab, LLC reserves the right to limit or prohibit orders that, in its sole judgment, appear to be fraudulent or for improper purpose.
Prices and Availability.
All descriptions of service pricing available on the www.thelōglab.net website (“Website”) are subject to change at any time without notice, at the sole discretion of lōglab, LLC. lōglab, LLC reserves the right to modify or discontinue any service at any time without notice. lōglab, LLC shall not be liable to You or to any third-party for any modification, price change, suspension or discontinuance of services or products. Certain services may be available exclusively online through the Website. These services may have limited quantities. Any offer for any service made on this Website is void where prohibited.
Occasionally there may be information on this Website that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. lōglab, LLC reserves the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the Website is inaccurate at any time without prior notice (including after You have submitted Your order). lōglab, LLC undertakes no obligation to update, amend or clarify information on the Website, including without limitation, pricing information, except as required by law.
Customer Information. You agree to provide current, complete and accurate purchase and account information for all purchases made through this Website. You agree to promptly update Your account and other information, including Your email address and credit card numbers and expiration dates, so that lōglab, LLC can complete Your transactions and contact You as needed. You understand that Your information (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
Payment. For purchases of lōglab services for which fees may be charged through this Website, You agree to abide by the Terms of purchase imposed, including, but not limited to, payment of all amounts when due and compliance with all rules and restrictions regarding availability of services. You shall be completely responsible for all charges, fees, duties, taxes, and assessments. A La Carte pricing will be billed hourly on a project basis with bills sent out monthly and due immediately. Package Pricing will be billed immediately upon confirmation of purchase and again each month at the start of each monthly billing period. You will also responsible for any incurred agreed upon reasonable travel and out-of-pocket expenses incurred by lōglab, LLC.
Termination/Cancellation. Either Party can terminate this Agreement at any time by providing written notice to the other Party. If the termination occurs within the middle of a monthly billing period, lōglab, LLC will prorate billing on a per day basis for that monthly period. Ownership of Materials and Intellectual Property Rights. This Website and the materials contained therein reference trademarks, patents, trade secrets, technologies, products, processes or other proprietary rights and intellectual property of lōglab, LLC. No right to or in any such trademarks, patents, trade secrets, technologies, products, processes and other proprietary rights of lōglab, LLC and/or other parties is granted to or conferred upon You. You are granted a limited, non-transferable, revocable license only, subject to the restrictions in these Terms, for purposes of viewing the materials contained on this Website for Your use only. All contents of this Website are protected by United States and international copyright laws. No materials on this Website or those provided by lōglab, LLC may be reproduced, distributed, posted, displayed, uploaded, or transmitted except as expressly permitted herein. Any rights not expressly granted herein are reserved.
Limitation of Liability. In no event shall lōglab, LLC, nor any of its officers, directors, employees, members, principles, affiliates, agents, contractors, interns, suppliers, service providers or licensors (collectively “lōglab, LLC”), be liable to You for any direct, indirect, incidental, punitive, consequential or special damages of any kind, including but not limited to loss of profits or data, lost revenue, lost savings, arising out of or in any way related to the provision of services. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, lōglab, LLC’s liability shall be limited to the maximum extent permitted by law.
Governing Law and Jurisdiction. These Terms will be governed by, construed and enforced in accordance with the laws of the State of California without regard to its conflicts of law rules. The exclusive jurisdiction for any dispute between the Parties is in the state or federal courts located in the State of California, County of Los Angeles.
Severability. If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.
Entire Agreement. These Terms, including any legal notices and disclaimers contained on this Website, constitute the entire agreement between the lōglab, LLC and You in relation to lōglab, LLC’s provision of CPO services, and supersede all prior agreements and understandings with respect to the same.
No Waiver. The failure of lōglab, LLC to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
